These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and OmniDrop Inc. ("OmniDrop," "we," "us," or "our"), governing your access to and use of the OmniDrop platform, APIs, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions, you may not access or use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. By registering, you represent and warrant that you meet these requirements and that the information you provide is accurate, current, and complete.
2. Description of Service
OmniDrop is an AI-powered dropshipping and marketing automation platform. The Service provides tools for:
- Product research and supplier discovery
- AI-powered content generation (ad copy, video ads, UGC creatives)
- Competitor ad intelligence and market analysis
- Autonomous AI marketing agents
- Multi-channel publishing (Meta, TikTok, Google)
- Order management and auto-fulfillment
- Store integrations (Shopify, Amazon, WooCommerce, eBay)
Feature availability varies by subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
3. Account Registration & Security
You must register for an account to access the Service. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and enable two-factor authentication.
- Immediately notify us of any unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or show signs of unauthorized access.
4. Subscription, Billing & Payment
4.1 Subscription Plans
The Service is offered under four subscription tiers: Starter ($49/mo), Pro ($129/mo), Business ($199/mo), and Agency ($299/mo). Each plan includes a monthly allocation of AI credits and specific feature access as described on our Pricing page.
4.2 Billing
- Subscriptions are billed monthly or annually in advance via Stripe.
- Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.
- Monthly AI credits reset on your billing date and do not roll over. Purchased top-up credits are non-expiring.
- All prices are in USD and exclude applicable taxes.
4.3 Refunds
Refund requests are accepted within 14 days of the initial purchase, provided you have not consumed more than 10% of your monthly AI credit allocation. Refunds are processed to the original payment method within 5-10 business days.
4.4 Payment Failure
If a payment fails, we will attempt to charge your payment method up to three times over 7 days. During this period, certain features may be restricted. If payment remains unsuccessful, your subscription will be downgraded and managed products may be set to draft status on connected stores.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Infringe on the intellectual property rights of others.
- Generate, distribute, or promote content that is illegal, harmful, misleading, fraudulent, or deceptive.
- Distribute malware, engage in phishing, or attempt unauthorized access to our systems.
- Circumvent usage limits, credit allocations, or access controls.
- Resell, sublicense, or redistribute access to the Service without written authorization.
- Scrape, crawl, or extract data from the Service beyond what is permitted by your plan's API access.
- Use the Service to compete directly with OmniDrop.
6. AI-Generated Content
6.1 Accuracy Disclaimer
Content generated by our AI tools (ad copy, video scripts, product descriptions, UGC creatives) is provided "as-is." AI models may produce inaccurate, biased, or inappropriate content. You are solely responsible for reviewing, editing, and approving all AI-generated content before publication.
6.2 No Guarantee of Performance
We do not guarantee that AI-generated content will achieve specific business outcomes (click-through rates, conversion rates, revenue). Performance depends on factors outside our control, including ad platform algorithms, market conditions, and product quality.
7. Intellectual Property
7.1 Your Content
You retain ownership of all content you upload to the Service. Content generated by the AI using your inputs and configurations is owned by you, subject to the underlying AI model providers' terms.
7.2 OmniDrop's Property
OmniDrop retains ownership of the Service, its underlying technology, algorithms, branding, documentation, and all proprietary content. Nothing in these Terms grants you a license to use our trademarks, logos, or brand assets without written permission.
8. Third-Party Integrations
The Service integrates with third-party platforms (Shopify, Amazon, Meta, TikTok, Stripe, AI model providers). Your use of these integrations is subject to the respective third-party terms and privacy policies. OmniDrop is not responsible for the availability, accuracy, or policies of third-party services.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- OmniDrop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- Our total aggregate liability for any claim arising from these Terms shall not exceed the fees you paid to OmniDrop in the 12 months preceding the claim.
- We are not liable for downtime, data loss, or service interruptions caused by third-party providers, force majeure events, or circumstances beyond our reasonable control.
10. Indemnification
You agree to indemnify and hold OmniDrop harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
- By You: You may cancel your subscription at any time from the Billing settings. Access continues until the end of the current billing period.
- By OmniDrop: We may suspend or terminate your account immediately for violations of these Terms, non-payment, or illegal activity.
- Data Retention: After termination, we retain your data for 30 days to allow for recovery. After this period, all data is permanently and irreversibly deleted.
12. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), held in San Francisco, California. You agree to waive any right to a jury trial or class action. Each party bears its own legal costs unless the arbitrator orders otherwise.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
14. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
